Corporate Transactions and Data Security

We seek an associate with at least 2-4 years of transaction/data security/corporate practice experience to join our Corporate and Transactional Services Practice Group. The qualified candidate will have experience with a variety of:

·         General commercial contract matters

·         Data privacy agreements, including regulated data (PHI under HIPAA, PII under GLBA, GDPR, CCPA, etc.)

·         Data security agreements (and general knowledge of security standards under PCI-DSS, SOC 2, Type II, ISO 27001 or SSAE 16)

·         General corporate formation and governance matters

·         Commercial lending transactions

·         Acquisition, merger and other business combination transactions

An interest in IT transactions is required and experience with basic IP filings (i.e. copyright and trademark) and/or work with real estate transactions are a plus.

Strong academic credentials along with exceptional research and writing skills required.  Academic credentials will be weighed along with other indicators of ability, motivation and initiative.  Must be admitted to practice in MN; admission in California is a plus.
