kpCompanies is leading the search for the General Counsel & Chief Compliance Officer of Planned Parenthood North Central States (PPNCS).  This position reports to the CEO, with direct access to PPNCS’ Board of Directors.  The General Counsel and Chief Compliance Officer is responsible for directing the legal and compliance functions of PPNCS and its subsidiary and related organizations (collectively, “the Organization”) and providing legal advice on matters requiring the attention of counsel.

The individual awarded this role will design, implement, audit, advise, and report on the Organization’s compliance programs, ensuring the organization follows all applicable requirements, including its code of conduct. The General Counsel and Chief Compliance Officer will inform and advise the CEO, COO, Executive Team, and Boards of Directors on areas of risk (including compliance) and strategies for risk mitigation.   
The General Counsel and Chief Compliance Officer will have direct access to the Board of Directors as needed for compliance matters and is a staunch advocate in implementing our mission to “Affirm the right to reproductive and sexual health and freedom for all by providing excellent care, trusted education and fierce advocacy.”

THE POSITION
The General Counsel and Chief Compliance Officer
 
ESSENTIAL FUNCTIONS AND RESPONSIBILITIES
LegalOversees and directs legal functions within the Organization, including advising on legal issues with a portfolio centering on health care, governance, nonprofit corporate and tax law, legislation, licensure, and other matters as appropriate
Provides legal and regulatory guidance to the Organization to assist with the execution of the strategic plan and other organizational goals
Interfaces in cross-functional work with committees and teams to address enterprise-wide legal issues
Oversees and provides supervision to attorneys and law clerks
Works in partnership with outside legal counsel
Owns and oversees contract review process: drafting and negotiating contracts, including certain provider, vendor, and service agreements with a goal of minimizing risk and supporting the strategic plan
Owns and oversees external filings process: counsels the Organization on maintaining its tax exempt and charitable statuses, and ensures all state-level corporate filings are up-to-date
Partners with COO to ensure adequate annual insurance coverages, and advises on the management of claims in collaboration with PPFA’s dedicated insurance carrier
Identifies potential areas of legal vulnerability and risk; develops/implements corrective action plans for resolution of problematic issues and provides guidance on how to avoid or deal with similar situations in the future

Compliance & Risk Management
Oversees and directs the Organization’s compliance program to ensure it meets all applicable healthcare compliance program requirements. This includes but is not limited to: developing, implementing, monitoring, auditing, and reporting on organization-wide risk and compliance matters, maintaining a confidential compliance hotline, and authoring PPNCS’ Code of Conduct
Advises on policies and procedures to prevent illegal, unethical, or improper conduct. Directs policy review cycle
Staffs the Enterprise Risk Management committee of the board of directors
Collaborates with other departments to direct compliance issues to appropriate channels for investigation and resolution. Consults with outside counsel as needed to resolve difficult compliance issues
Responds to alleged violations of rules, regulations, and policies by evaluating allegations and concerns and recommending and overseeing investigative procedures. Reports violations or potential violations to enforcement agencies as appropriate and/or required
Responsible for overseeing Planned Parenthood Federation of America (“PPFA”) Accreditation process. Acts as Health Care Compliance Officer within the context of PPFA requirements
STANDARD REQUIREMENTSSupports, cooperates with, and implements specific procedures and programs for: safety and security, confidentiality, quality assurance, compliance with current laws and regulations including HIPAA and mandatory reporting
Supports and participates in organizational teamwork:

Follows up as appropriate with supervisor, co-workers and patients regarding reported complaints, problems and concerns

Completes requirements for acceptable attendance and timeliness to work

CANDIDATE PROFILE
REQUIRED QUALIFICATIONSBachelor’s degree and Juris Doctorate from an accredited law school
Current unrestricted license to practice in Minnesota
Minimum of nine (9) years of experience practicing law, preferably in health care-related roles for most of that time
Demonstrated ability to oversee team of attorneys and compliance professionals
Strong proficiency in health and nonprofit law, including experience with privacy, governance, scope of practice, contracting, anti-fraud, waste, and abuse laws (e.g., Anti-Kickback), billing laws and regulations and tax exemption
DESIRED QUALIFICATIONSExperience advising clients on legal aspects of financing, including assessing and advising on current and future business structures and legal entities
Experience advising on strategies related to litigation
Experience advising the human resources function on a broad range of employment areas
Knowledge, Skills and AbilitiesAble to communicate and coordinate effectively with staff on many levels of the organization
Strong leadership skills
Exceptional written and oral communication skills
Ability to work with diverse populations
Attention to detail
Basic computer skills in Microsoft programs, including Word, Outlook, and Xcel
