Pearson’s Clinical Assessment group offers internationally recognized products and services to meet our varied customers’ needs. We concentrate on merging innovation with quality test design to develop increasingly more effective tools for children and adults, educators and clinicians. SUMMARY
This position provides legal support to the Clinical Assessment line of business providing general advice and counsel under the direction of senior members of the legal department. The job will include review, analysis, and management of legal policies and terms of use, negotiation of contract terms for federal, state, and local governments, managing intellectual property policies and registrations, and customer support related to legal issues. This position includes working closely with business development, operations, and delivery teams in formulating creative solutions to highly complex business/legal problems while understanding the impact of problems/solutions and their relevancy across multiple aspects of the business unit. The position will negotiate, draft and review vendor, subcontractors, software agreements and other transaction agreements on behalf of the business. The position will stay current on relevant legal and regulatory changes as assigned and monitor business practices to ensure that contract activities are in full compliance with the contract and applicable law. There is a need to follow and analyze established contracting protocols, guidelines and processes in negotiating, organizing and maintaining executed agreements and policies. There will be additional legal projects as assigned, which could include in the areas of intellectual property, data privacy, technology and international legal research.

SCOPE AND IMPACT OF JOB
Provide contract services, review and advice and manage overall legal support for the Clinical Assessment business at the direction of other members of the legal department. Working closely with other legal and functional professionals in Clinical Assessments both internal and external customers, vendors, and other third parties. Experience with contracts law, state and local procurement law, intellectual property, data privacy, experience in areas of technology, contract review, and negotiation are a plus. Experience in legal practices areas helpful.

REQUIRED KNOWLEDGE AND EXPERIENCE
Education and Experience:
- JD. required and licensed preferred.
- Experience in contract administration (issue spotting, contracts drafting, contract management, legal support, and contract preparation)
- Experience in managing complex Terms of Use and other E-Commerce terms.
- Experience with Microsoft Word
Skills, Knowledge and Abilities:
- Knowledgeable of the contract/legal process (scope of agreements; implications, use and interaction of various forms and templates; principles of risk and legal compliance)
- Solid understanding of basic principles of contracting and legal compliance
- Experience with legal issues associated with technology related agreements and licensing a plus
- Experience analyzing and advising on legal risk and issues in highly complex or ambiguous situations, including consideration of impact and long-term effect of various possible decisions/solutions
- Familiar with diverse, highly complex legal problems and adept at devising reasonable solutions and ample work-around
- Assist others in identifying potential problems and avoiding them
- Excellent writing, communications and proof-reading skills
