This position is responsible for legal issues affecting U.S. Bank’s Global Corporate Trust and Custody division when the Bank is acting in a trustee capacity. U.S. Bank is among the premier corporate trustees in the country. The Bank’s Corporate Trust business line serves in various capacities, including trustee for public finance, corporate finance, and structured finance transactions. U.S. Bank’s Corporate Trust business also includes providing services as escrow agent, paying agent, transfer agent, document custodian, and more.

Primary duties for this position include reviewing and negotiating municipal finance transaction documents and related deal documents on behalf of the Bank in its role as trustee. Additional responsibilities include counseling the business line on issues related to governing documents; advising as to the trustee’s administration of municipal finance accounts; interpreting SEC, OCC, MSRB and other relevant laws and regulations; providing advice on account level and bondholder issues; and advising management regarding litigation and risk.

Qualifications

Basic Qualifications
– Law degree
– Licensed by and in good standing with the appropriate state bar association or other appropriate state attorney licensing authority

Preferred Skills/Experience
– Seven or more years of experience involving financing transactions, preferably including experience representing corporate trustees.- Background in the legal, regulatory, and industry issues applicable to complex financings involving financial institutions acting as a trustee or agent- Experience with municipal finance transactions, including experience representing indenture trustees and experience drafting, reviewing, and negotiating indentures and related bond documents.- Additional experience in corporate finance, structured finance, and related areas of law, plus an understanding of the legal and regulatory issues affecting fiduciaries and agents in the context of corporate trusteeships- A background in representing financial institutions and fiduciaries is helpful.
