Dorsey & Whitney LLP is seeking a Mergers and Acquisitions Associate, Senior Attorney or Of Counsel with at least five years of experience to join our Delaware, Minneapolis, Salt Lake City or New York office. This attorney will primarily support our Delaware office and have the opportunity to work on a wide variety of corporate and alternative entity transactions, including mergers, acquisitions, divestitures, corporate restructurings, strategic partnerships, financing and complex lending transactions, cross-border transactions and private equity investments, as well as researching and analyzing transactional situations. This attorney will work on general corporate and alternative entity matters, including general contract review, corporate governance and rendering legal opinions.

Qualified candidates will have:

  • A JD degree from an ABA-accredited law school
  • At least five years of corporate experience, including substantial mergers and acquisitions experience;
  • Experience working in the business/corporate group of a large law firm;
  • Delaware bar admission or the ability to become admitted in Delaware;
  • Strong project management skills, organizational skills, and the ability to thrive in a fast-paced work environment and manage numerous projects simultaneously under deadline pressure;

Dorsey & Whitney LLP is seeking an associate with two to five years of environmental, natural resources, compliance, or regulatory law experience to join the Regulatory Affairs Practice Group in our Minneapolis or Salt Lake City office. This attorney will have the opportunity to represent and advise clients on a wide variety of environmental and natural resources related issues arising in transactions, litigation, and regulatory matters. 

The following qualifications are required:

The Federal Reserve Bank of Minneapolis (Bank) is seeking a candidate for a full-time Senior Attorney or Senior Counsel position in its Legal Division.

This attorney will practice as a generalist in typical in-house subject areas as well as in areas more specific to the Federal Reserve. The successful candidate must have exceptional legal analytical and communication skills and will thrive as part of a collegial and collaborative legal team.
Responsibilities:

Serve as lead attorney in at least one and develop a working knowledge of other core legal practice areas that impact the Bank, including contracts, data privacy, ethics compliance, discount window lending, banking supervision and regulation, law enforcement, data and research, insurance, tax, and intellectual property.

Provide advice, counsel and other in-house legal services to Bank management and staff and interact regularly with attorneys from other Federal Reserve Banks and the Board of Governors of the Federal Reserve System.

Draft, negotiate, and review contracts and advise management of potential risks in contractual areas.

Handle matters that may involve complex legal issues regarding the impact of applicable laws and regulations on the Bank’s business operations, policies, and strategic objectives.

Conduct extensive legal research, assist in the planning of legal strategies, and support the training and development of other attorneys in the Legal Division.

Qualifications:

Juris Doctorate degree required and must be admitted to practice law in the state of Minnesota.

5 or more years legal experience or judicial clerkship.

Excellent legal research and writing skills.

Excellent analytical abilities along with sound legal and business judgment.

Excellent communication skills.

Additional Information:

Salary offer will be based on qualifications/experience of the candidate, alignment with market data, the needs of the position, our total compensation package, and internal equity. 

Full Salary Range: Senior Attorney: $131,700- $164,659 -$197,600

Full Salary Range: Senior Counsel: $157,500- $196,836 - $236,200

Primary Responsibilities:

• Associate Attorney Salary Level: $51.00 - $58.03 Hourly; $106,080.00 - $120,702.40 Annually
• Attorney Salary Level: $54.11 - $66.80 Hourly; $112,548.80 - $138,944.00 Annually (To be considered at the Attorney level, candidates must have at least 3 years of directly related experience.)

Here’s what you can expect to do:
These positions will involve litigation of a wide range of civil actions including civil rights, land use, contracts, labor and employment law, and various tort claims. The successful candidates must:
• Conduct legal analysis of standard and complex civil actions initiated against the City of Saint Paul, city employees and elected officials.
• Develop sustainable litigation strategies for a variety of pending and threatened civil actions.
• Represent the City of Saint Paul, city employees and elected officials through all phases of civil litigation in state and federal district and appellate courts.
• Prepare matters for trial, including motions, witness preparation, and discovery.
• Appear in court remotely and in person.
• Prepare post-hearing legal memorandum and appellate briefs.

The incumbent in this role performs research and provides legal advice and strategies to assigned business units of the Department’s Office of Inspector General (OIG), Department staff and counsel whose work intersects with OIG, regulated providers and programs, and the general public regarding application of statutes and rules under the OIG’s jurisdiction.

This posting covers two positions within the OIG Legal Counsel’s Office. Each provides legal expertise in an area of focus.

One position advises the Background Studies Division and other areas of DHS on state and federal requirements for background studies for child care, child foster care, adoption, and related program types. This position will also work closely with the Department of Children, Youth, and Families as issues overlap.

The other position advises the Background Studies Division and other areas of DHS on legal issues associated with background study systems and vendors. This includes advising on data privacy, state and federal compliance, and related issues involving the NETStudy 2.0 system, fingerprinting vendor, and related processes. This position will also have primary responsibility for drafting and editing all professional/technical contracts and other agreements related to background study systems and vendors.

Job Duties and Responsibilities
Act as project and compliance manager for the Department of Civil Rights by developing procedures and compliance plans to assess adherence to the Minnesota Department of Human Rights Settlement Agreement and any future mandated reforms.
Manage professional contracts including, overseeing the preparation of the request for proposals, assisting in negotiating and preparing the final contract and any amendments (with assistance of staff attorney(s)), and reviewing all invoices prior to payment.
Oversee Settlement Agreement and Consent Decree compliance.
Prepare status reports and presentations for approval and monitor it to ensure compliance.
Provide Department representation in the design and deployment of new Records Management System
Serve as Department representative at both internal and external meetings to provide Division-specific updates, information and statistics.
Monitor against project contingency, reviewing, and approving all changes in collaboration with Division heads
Ensure appropriate input from various authority positions.
Oversee portions of the construction activities including, reviewing and approving change and adjustments orders and approval of all payments.
Serve as a point of contact for Department and Divisions.
Oversee and ensure that appropriate Committee in the City Council and at other decision-making boards receive all materials in timely manner and that required project approvals are secured.
Coordinate the Risk Management activities for the project.
Oversee the civil rights staff on the project.
